1. Acceptance of Terms
Welcome to parasuite360! These Terms of Service (“Terms”) govern your access to and use of the parasuite360 software platform (the “Platform”), accessible on iOS, Mac, Windows, Android, Linux, and our Website. By accessing or using the Platform, you (“User” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and LAXMI ENTERPRISES, a proprietorship firm legally registered under the name LAXMI ENTERPRISES (with laxmienterpriseshub.com ), located at India (“Company,” “we,” “us,” or “our”). For the purposes of these Terms, “parasuite360” refers to the software platform operated by LAXMI ENTERPRISES.

2. Description of Service
Parasuite360 is a software service that allows users to upload, create, store, manage, and share videos, images, audios, and other digital resources. The Platform provides tools for users to organize content, extract information from media URLs using AI, and share content publicly or privately. The Platform is accessible through our website parasuite360.com and applications for iOS, Mac, Windows, Android, and Linux operating systems.

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform. We may also introduce new features, tools, or functionalities to the Platform from time to time, which will be subject to these Terms.

3. User Accounts and Registration
To access certain features of the parasuite360 Platform, you may be required to create a user account. When creating an account, you agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account.

You must be at least 18 years of age to use the parasuite360 Platform. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

You are solely responsible for all activities that occur under your account. If you become aware of any unauthorized access to or use of your account, you must notify us immediately at legal@parasuite360.com.

You may terminate your parasuite360 account at any time by contacting support at legal@parasuite360.com. We may suspend or terminate your account and access to the parasuite360 Platform, with or without cause and with or without notice, if we believe you have violated these Terms, engaged in illegal or improper conduct, or for any other reason in our sole discretion. Upon termination, your right to use the parasuite360 Platform will immediately cease.

4. User Conduct and Acceptable Use Policy
You agree to use the parasuite360 Platform in compliance with all applicable laws, rules, and regulations, including but not limited to copyright laws, intellectual property laws, data protection laws, and laws related to online content.

You agree not to use the parasuite360 Platform to:

• Upload, create, or share illegal, infringing, defamatory, libelous, harassing, abusive, threatening, obscene, pornographic, hateful, discriminatory, or otherwise objectionable content.
• Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party, including copyright, trademarks, patents, and trade secrets.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Engage in spamming, phishing, or other unsolicited communications.
• Transmit viruses, worms, malware, or any other harmful code.
• Interfere with or disrupt the operation of the parasuite360 Platform or the servers or networks used to make the Platform available.
• Attempt to gain unauthorized access to the parasuite360 Platform or any user accounts.
• Collect or harvest any personally identifiable information from the parasuite360 Platform without proper authorization.
• Use the parasuite360 Platform for any commercial purposes without our express written consent.
• Circumvent, disable, or otherwise interfere with security-related features of the parasuite360 Platform or features that prevent or restrict use or copying of any content.
• Use any robot, spider, scraper, or other automated means to access the parasuite360 Platform for any purpose without our express written permission.
• Engage in any activity that could damage, disable, overburden, or impair the parasuite360 Platform.

We reserve the right, but are not obligated, to monitor, review, moderate, and remove any User-Generated Content or user activity on the parasuite360 Platform that we believe violates these Terms or is otherwise objectionable, illegal, or harmful.

We may take such actions at our sole discretion and without prior notice. We are not responsible for the content posted or shared by users on the parasuite360 Platform.

If you believe that any User-Generated Content or user conduct violates these Terms, please report it to us immediately at legal@parasuite360.com.

5. Intellectual Property Rights
The parasuite360 Platform, including its design, software, code, graphics, logos, trademarks, and all other content and materials provided by us (“Company Content”), are owned by or licensed to LAXMI ENTERPRISES and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on the parasuite360 Platform or the Company Content.

By uploading, creating, or sharing User-Generated Content on the parasuite360 Platform, you grant to LAXMI ENTERPRISES a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, and display your User-Generated Content in connection with the operation and provision of the parasuite360 Platform and our services.

This license is for the purpose of enabling us to operate the parasuite360 Platform, provide the services, and improve the Platform. This license does not grant us ownership of your User-Generated Content. You retain all ownership rights in your User-Generated Content, subject to the license granted herein.

6. Third-Party Services and Content
The parasuite360 Platform may integrate with or contain links to third-party websites, applications, services, or resources (“Third-Party Services”) including but not limited to Google Gemini, Razorpay, and social media platforms.
We are not responsible for the content, accuracy, or practices of any Third-Party Services, nor do we endorse them. Your interactions with Third-Party Services are solely between you and the applicable third party and are subject to their terms and privacy policies. We are not liable for any loss or damage arising from your use of any Third-Party Services.

The parasuite360 Platform utilizes Google Gemini for certain features, such as extracting and parsing information from publicly shared URLs. Your use of these features is subject to Google’s Terms of Service and Privacy Policy applicable to Gemini. We are not responsible for the accuracy, completeness, or reliability of the information extracted by Gemini, and your use of this feature is at your own risk.

7. Payment Terms
Currently, access to and use of the core features of the parasuite360 Platform are provided free of charge. However, we reserve the right to introduce fees for certain premium features, enhanced functionalities, or subscription plans in the future. We will provide you with prior notice of any changes to our pricing or the introduction of fees.

8. Disclaimer of Warranties
THE parasuite360 PLATFORM AND ALL COMPANY CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
WE DO NOT WARRANT THAT: (I) THE parasuite360 PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (II) THE parasuite360 PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE parasuite360 PLATFORM WILL BE ACCURATE OR RELIABLE; (IV) THE QUALITY OF ANY CONTENT, PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE parasuite360 PLATFORM WILL MEET YOUR EXPECTATIONS; OR (V) ANY ERRORS IN THE parasuite360 PLATFORM WILL BE CORRECTED.

YOUR USE OF THE parasuite360 PLATFORM IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE parasuite360 PLATFORM.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAXMI ENTERPRISES, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE parasuite360 PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE parasuite360 PLATFORM, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE parasuite360 PLATFORM; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE parasuite360 PLATFORM EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO US FOR THE USE OF THE parasuite360 PLATFORM IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR INR 7500 IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO US, WHICHEVER IS GREATER.
THE LIMITATIONS OF THIS SECTION SHALL APPLY WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification
You agree to indemnify, defend, and hold harmless LAXMI ENTERPRISES, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of the Platform; (ii) your User-Generated Content; (iii) your violation of these Terms; or (iv) your violation of any rights of another party.

11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.

YOU AND LAXMI ENTERPRISES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND LAXMI ENTERPRISES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

12. Terms and Termination
These Terms shall remain in full force and effect while you use the Platform or maintain an account with us.
We may terminate these Terms and your access to the Platform at any time, with or without cause and with or without notice, as described in Section 3 (User Accounts and Registration).
Upon termination of these Terms or your account, your right to access and use the Platform will immediately cease.

13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide you with notice of such changes, such as by posting the updated Terms on our Website or through other reasonable means. The “Last Updated” date at the top of these Terms will indicate when the latest revisions were made. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

14. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Platform, constitute the entire agreement between you and LAXMI ENTERPRISES concerning the Platform and supersede all prior and contemporaneous communications, agreements, and understandings, whether oral or written, between you and us.

15. General Terms
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without your consent.

We shall not be liable for any failure to perform or delay in performance of our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
